GEOWORKS SHAREWARE LICENSE AGREEMENT

THIS IS A LICENSE TO USE AND DISTRIBUTE THE SHAREWARE VERSION OF GEOWORKS' GeoPublishTM SOFTWARE.  You may use a shareware copy of GeoPublish for a trial period of up to 30 days without obligation. If you wish to continue using GeoPublish after that period, you must purchase a registered copy.

The GeoPublish program is protected by U.S. copyright law (Copyright c Geoworks 1990 - 1994) and International treaties, and by a pending U.S. Patent.  GeoPublish is not "free" or "public domain" software. 

A "shareware" copy of GeoPublish is a copy distributed on diskette or via an electronic bulletin board, on-line service, or other electronic means, obtained from a shareware disk vendor, or obtained from another individual, without any printed documentation, other than what is contained on the disk. 

A "registered" copy of GeoPublish is a copy of Ensemble_ 2.0 distributed by Geoworks on diskette bearing the original Geoworks trademarks, accompanied by a printed bound manual.  Registration requires either (1) a written registration sent to Geoworks, 960 Atlantic Avenue, Alameda, CA 94501, ATTN:  GeoPublish Offer along with the registration fee; or (2) a telephone registration by calling 1-800-238-5885, ext. 001 and paying the registration fee by major credit card.  The registration fee is $79.95 (plus $6.95 for shipping and handling, and applicable sales tax) in U.S. dollars.

You may copy GeoPublish for normal backup purposes, and you may give shareware copies of GeoPublish to other individuals, which they may also use and copy subject to the terms of this agreement. If you copy the shareware version of GeoPublish for others, you must include all of the files distributed with it, including this text file.  

You may not distribute GeoPublish with any other product or as an incentive to purchase any other product, without prior written permission from Geoworks.   You may impose an administrative charge of not more than $9 for copies of the shareware version of GeoPublish.

You may not disassemble, modify, decompile or create derivative works of GeoPublish.  GeoPublish includes certain trade secrets and confidential information, all of which are the intellectual property of Geoworks. 

Your right to distribute under this license is personal, and does not include any right to (1) sublicense or otherwise cause any copying or distribution of the software by anyone else without Geoworks' prior written consent, or (2) rent or lease the software, or (3) sell it as part of any hardware or software package.

U.S. GOVERNMENT RESTRICTED RIGHTS:  The U.S. Government acknowledges GEOWORKS' representation that the software and its documentation were developed at private expense and no part of them is in the public domain.  The software is "Restricted Computer Software" as that term is defined in Clause 52.227-19 (FAR) and is "Commercial Computer Software" as that term is defined in Subpart 227.471 (DFARS).

RESTRICTED RIGHTS LEGEND
If this product is acquired under the terms of a government contract, use, duplication, and disclosure are subject to the terms of this license agreement and the following restrictions:  subdivision (c)(1)(ii) of the Rights in Technical Data and Computer Software clause at 252.227-7013 (DOD contracts); subdivisions (a) through (d) of 52.227-19 (Civilian agency contract); and the applicable ADP Schedule Contract (GSA contract).

EXPORT LAW ASSURANCES:  You agree that neither the software nor any direct product thereof is being or will be acquired, shipped, transferred or re-exported, directly or indirectly, into any country prohibited by the United States Export Administration Act and the regulations thereunder.

DISCLAIMER OF WARRANTIES:  This program is distributed in the hope that it will be useful, but "AS IS," WITHOUT ANY WARRANTY; without even the implied warranty of MERCHANTABILITY or FITNESS FOR A PARTICULAR PURPOSE.  GEOWORKS does not warrant that the software will meet your requirements, that operation of the software will be uninterrupted or error-free, or that all software errors will be corrected.

LIMITATION OF LIABILITY: IN NO EVENT WILL GEOWORKS OR ITS SUPPLIERS BE LIABLE TO YOU FOR ANY SPECIAL, CONSEQUENTIAL, INDIRECT OR SIMILAR DAMAGES, INCLUDING ANY LOST PROFITS OR LOST DATA ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE.

Some states and countries do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation of liability may not apply to you.

GENERAL:  This Agreement will be governed by the laws of the State of California, U.S.A., except for that body of law dealing with conflict of laws.

GeoPublish is a trademark and Geoworks and Ensemble are registered trademarks of Geoworks, in the United States and other countries. 
This License may be terminated by Geoworks by giving a 30-day written notice.
